GUILD CHRONICLES GAMING LICENSE AGREEMENT

    1. Definitions

For purposes of this Agreement, the following terms are defined as:

        • “System” refers to the game mechanics, rules, and supporting materials of Guild Chronicles.
        • “Reproduce” means to copy, duplicate, or otherwise replicate the System materials in any format for personal, non-commercial use to facilitate gameplay.
        • “Adapt” means to alter, modify, or create derivative works based on the System materials, including house rules or scenario variations.
        • “Distribute” means to share, transfer, or otherwise provide copies of the System materials or adaptations to third parties.
        • “Commercial” refers to any activity intended to generate profit, income, or other forms of financial compensation.
        • “Non-commercial” refers to activities conducted for personal enjoyment or community engagement, without any intent to generate profit or financial gain.
        • “Materials” refers to any content, documents, rules, mechanics, written text, graphics, artwork, character designs, world settings, or other tangible or digital content associated with Guild Chronicles, including but not limited to rulebooks, supplements, cards, tokens, maps, pre-recorded or livestreamed actual plays, and any other physical or electronic components that are part of the official game system or created by Licensees under this license.
    1. Grant of License

Guild Chronicles, LLC (“Licensor”) hereby grants to the Licensee (“Player”) a limited, non-exclusive, non-transferable license to:

(a) Reproduce the game mechanics and supporting materials from Guild Chronicles (“System”) solely for the purpose of facilitating gameplay. This includes creating personal copies of rules summaries, play aids, and similar materials.

(b) Create and distribute non-commercial supplemental materials for the System, provided that any such materials are clearly marked as unofficial and fan-made. Licensee must not imply that these supplemental materials are official or endorsed by Licensor.

    1. Restrictions on Use

The Licensee agrees to the following restrictions:

(a) Licensee may not reproduce, distribute, or adapt the System materials for any commercial purpose or for any profit-making venture, whether directly or indirectly, without prior written permission from Licensor.

(b) Any supplemental materials created by the Licensee must be created and distributed for non-commercial purposes only. Licensee may not charge fees or otherwise monetize these materials.

    1. Commercial License Inquiries

If the Licensee wishes to create for-profit or commercial materials under this license, Licensee may inquire about purchasing a commercial license by contacting Guild Chronicles, LLC at contact@guildchronicles.com.

    1. Morality Clause

Licensee agrees that any materials created under this license must not, in the sole discretion of Licensor, contain or promote content that is discriminatory, harmful, or otherwise inappropriate. This includes but is not limited to content that:

        • Is racist, anti-queer, ableist, or sexist
        • Promotes or glorifies real-world, political, or ideological violence, including but not limited to terrorism, hate crimes, or violence targeted at specific groups based on protected characteristics
        • Depicts fantasy violence in a manner that is intended to incite real-world harm or illegal actions
        • Is otherwise offensive or contrary to the values of inclusion, diversity, and respect

Licensor reserves the right to revoke this license if the Licensee engages in the creation, promotion, or distribution of such materials.

    1. Intellectual Property

All intellectual property rights in and to the System and its associated materials are retained by Licensor. Licensee is granted no rights to these materials other than those expressly stated in this agreement.

    1. Licensee Responsibilities

Licensee agrees to use the System materials in compliance with all applicable laws, regulations, and industry standards. Licensee assumes full responsibility for any consequences resulting from their use of the System materials.

    1. Termination

This license may be terminated at any time by Licensor if Licensee violates any of the terms of this agreement. Upon termination, Licensee must immediately cease all use of the System materials and destroy any copies in their possession. Licensor will provide Licensee with notice of the violation and an opportunity to cure the violation within 14 days before termination takes effect.

    1. Limitation of Liability

To the maximum extent permitted by applicable law, Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from Licensee’s use of the System materials.

    1. No Warranty

The System materials are provided “as is” and “as available,” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    1. Attribution

Licensee agrees to provide proper attribution to Guild Chronicles, LLC, in any reproductions or materials created under this license. Attribution must be given in a clear and visible manner and must include the following credit: “Guild Chronicles is a registered trademark of Guild Chronicles, LLC.”

    1. Jurisdiction and Dispute Resolution

Any disputes arising from or relating to this license shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California. Before initiating litigation, the parties agree to first attempt to resolve any disputes through good-faith negotiation or mediation.

    1. Digital Distribution and Modification Restrictions

Licensee may not digitally distribute, share, or modify the System materials except as explicitly allowed under this license. Any such modifications must clearly indicate they are unofficial and unendorsed by Licensor, and must not affect the core mechanics or integrity of the System. Private, non-commercial sharing among small groups of friends for the purpose of facilitating gameplay is permitted.

    1. License Updates

Licensor reserves the right to update or modify this license at its sole discretion. The most up-to-date version of this license will control over any printed or previously issued versions. The most current version of this license can be found at guildchronicles.com/license.

    1. Use of Fan-Created Content

Licensor respects the creative efforts of its fan community and does not intend to use fan-created content without explicit permission. However, due to the common use of shared fantasy tropes and themes, it is possible that Licensor may independently develop content that bears unintentional similarities to fan-created materials. In such cases, any resemblance is purely coincidental, and Licensor retains the right to use independently developed content without obligation to the fan-creator.

If Licensor intends to use fan-created content as-is or in a substantially similar form, Licensor will reach out to the creator(s) to seek permission for its use. If such content is used with permission, the creator(s) will be given appropriate credit, though no compensation is due unless otherwise agreed in writing.

    1. Non-Transferability

This license is personal to the Licensee and may not be assigned, transferred, or sublicensed to any other person or entity without the express written consent of Licensor.

    1. Governing Law

This agreement shall be governed by and construed in accordance with the laws of California.

    1. Entire Agreement

This license constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, whether written or oral, relating to such subject matter.

    1. Severability

If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
